Will Thores

Legal Counsel

Will is Legal Counsel at Black & White Engineering, where he leads the company’s legal and commercial function in support of project delivery across global markets. As the founding legal hire, he established the function from inception, building the templates, policies and governance frameworks that now underpin Black & White’s operations worldwide.

Will has played a central role in scaling Black & White’s international footprint, leading expansion into 15 new jurisdictions and advising on entity structuring, statutory compliance, and the operational governance required to support sustainable growth. He is responsible for the drafting and negotiation of the company’s most significant agreements, including consultancy appointments, sub-consultant agreements, master services agreements, NDAs and framework arrangements.

This work supports some of the industry’s most complex and high-value mission-critical infrastructure projects across the UK, Europe, the Middle East, APAC and the Americas.

His wider remit extends across corporate governance, compliance and risk, professional indemnity and insurance, intellectual property, and disputes and claims oversight. He also supports the board on group-level matters such as restructurings, share transfers, due diligence and the legal workstreams underpinning strategic transactions.

Will is known for a pragmatic, commercially-minded approach, working closely with the senior leadership team as a trusted advisor on matters ranging from international expansion and high-value client negotiations to day-to-day commercial decisions. He brings a focus on protecting the business without losing sight of the client relationship, ensuring legal input supports rather than slows commercial progress.

Alongside his advisory remit, Will leads Black & White’s growing legal and commercial team, shaping its structure and capability as the function scales with the business.

Will holds a Master of Laws (LLM) and is a qualifying SQE candidate, with specialisms in corporate, contract, and commercial law. Prior to Black & White, he held legal management roles with Kingfisher Group, following an earlier role in the oil and gas industry.
